IMPORTANT LEGAL NOTICE: This Healthcare Provider Agreement (the "Agreement" or "Provider Terms") constitutes a legally binding contract between Sehat Digital (the "Platform," "we," "us," or "our") and any licensed medical practitioner, doctor, or allied health professional (the "Provider," "Practitioner," "you," or "your") who registers, accesses, or provides clinical services through the Platform. Please read this agreement carefully before proceeding.
These Terms govern your professional access to and use of Sehat Digital to conduct teleconsultations, generate e-prescriptions, and manage digital patient records. By using the Platform, you explicitly covenant that your virtual practice complies with all active laws of the Islamic Republic of Pakistan, including but not limited to the Pakistan Medical and Dental Council (PMDC) Act (and/or active guidelines of the Pakistan Medical Commission), provincial healthcare commissions (such as the Punjab Healthcare Commission - PHC, Sindh Healthcare Commission - SHCC), and federal data regulations.
2.1 Active Licensing. You represent and warrant that you hold a valid, active, and unrestricted license to practice medicine in Pakistan issued by the PMDC/PMC. You must provide a valid PMDC/PMC registration number, proof of basic qualification (MBBS/BDS), and any relevant post-graduate specialization (FCPS, MRCP, MD, etc.) upon request during registration.
2.2 Duty to Disclose Change of Status. You are strictly obligated to immediately notify Sehat Digital in writing if your clinical license is suspended, cancelled, restricted, or if you become subject to any professional misconduct inquiry by the PMDC/PMC or provincial healthcare commissions. Failure to do so will result in immediate termination of access and potential legal reporting.
2.3 Professional Indemnity Insurance. While not mandatory for registration on the Platform, Sehat Digital strongly recommends that Providers maintain an active professional medical malpractice indemnity insurance policy covering telehealth services in Pakistan.
3.1 Absolute Standard of Care. You must deliver telehealth services to Platform users with the same degree of care, professional skill, ethical conduct, and clinical judgment that is required in a physical, in-person clinical setting.
3.2 Clinical Autonomy & Referrals. You retain absolute, independent clinical autonomy over patient diagnosis and treatment plans. If you determine, in your professional judgment, that a patient's clinical presentation is too complex, unstable, or requires physical assessment (e.g., palpation, auscultation, or urgent diagnostic imaging), you have an absolute ethical and legal duty to:
4.1 Absolute Prohibition of Controlled Substances. STRICT PROHIBITION (PMC/PMDC TELEMEDICINE COMPLIANCE): Under no circumstances shall you prescribe narcotics, psychotropic substances, highly addictive tranquilizers, psychiatric stimulants, experimental drugs, or any Schedule G / controlled substances as defined under the Drugs Act, 1976 and the Narcotic Substances Act, 1997 through the Sehat Digital Platform.
4.2 Electronic Signatures. Any digital or e-prescription generated by you on the Platform must carry your digital signature, PMDC/PMC registration number, and clinical qualifications. You are solely responsible for the clinical rationale, dosing, and accuracy of all issued e-prescriptions.
4.3 Diagnostic Referrals. Any laboratory tests or radiological investigations referred by you must strictly align with the clinical history provided by the patient and standard medical guidelines.
The relationship between the Provider and Sehat Digital is strictly that of independent contracting parties. Nothing in these Terms shall be construed to create a partnership, joint venture, employer-employee, or agency relationship.
You are solely responsible for your clinical practice, medical decisions, and any liability arising thereof. Sehat Digital is merely an intermediary technology platform facilitating scheduling, video infrastructure, billing, and electronic record transmission. We do not employ you or supervise your clinical decisions.
6.1 Consultation Fees. You may set your professional consultation fees within the reasonable ranges permitted by the Platform. Fees are collected by Sehat Digital's integrated, secure third-party payment gateways at the time of patient booking.
6.2 Revenue Sharing & Platform Fee. Sehat Digital retains a platform/administrative facilitation fee of 40% of each successful consultation fee. The remaining 60% will be disbursed to your nominated Pakistani bank account or mobile wallet (JazzCash/EasyPaisa). This revenue share is displayed in your Provider dashboard and may be updated by Sehat Digital from time to time, with notice provided to active Providers.
6.3 Taxation Compliance (FBR & Provincial Revenue Authorities). You are solely responsible for reporting and paying all applicable federal and provincial taxes on your earned income. Sehat Digital will deduct withholding tax on service transactions where mandated under the Income Tax Ordinance, 2001, or provincial sales tax rules (e.g., Punjab Revenue Authority - PRA, Sindh Revenue Board - SRB), and will provide tax withholding certificates upon request.
7.1 Medical Record Keeping. You must document all consultations accurately on the digital medical record (EMR) interface provided by the Platform. You are prohibited from downloading, exporting, or storing patient health records on unsecured personal devices.
7.2 Professional Confidentiality. You must maintain absolute confidentiality regarding patient identities, medical conditions, chat histories, and consult media. Any unauthorized disclosure of patient information is a criminal offense under the Prevention of Electronic Crimes Act (PECA), 2016, and constitutes severe professional misconduct.
7.3 Recording Ban. You are strictly prohibited from recording video or audio consultations, taking screenshots of patients, or distributing session media without explicit, written consent from both the patient and Sehat Digital.
You agree not to solicit patients met through Sehat Digital to consult with you privately or off-platform. Any attempt to bypass the Platform's payment or booking system to collect direct, private payments from patients referred to you by Sehat Digital constitutes a material breach of this Agreement and will result in immediate permanent account suspension and potential financial penalties.
9.1 Platform Disclaimer. Sehat Digital disclaims all liability for clinical negligence, diagnostic errors, surgical/medical referrals, or treatment failures attributable to you. The Platform does not guarantee uninterrupted system access and is not liable for technical network drops during critical consultation moments.
9.2 Provider Indemnification. You agree to defend, indemnify, and hold harmless Sehat Digital, its parent company, directors, and employees against any third-party lawsuits, clinical malpractice claims, regulatory actions, penalties, or financial damages (including legal fees) arising directly or indirectly from your negligence, willful misconduct, or violation of applicable Pakistani medical codes.
This Agreement shall be governed, interpreted, and enforced in accordance with the federal and provincial laws of the Islamic Republic of Pakistan. Any legal dispute, controversy, or claim arising out of this Agreement that cannot be settled amicably within thirty (30) days shall be referred to binding arbitration in Lahore, Pakistan, conducted under the Arbitration Act, 1940.
This Agreement remains in effect until terminated. Either party may terminate this agreement at any time, with or without cause, by giving fifteen (15) days written notice. Sehat Digital reserves the right to suspend or terminate your provider account instantly, without prior notice, in the event of clinical misconduct, active license suspension, or breach of these Terms.
Acknowledgment and Acceptance
By registering as a Provider or utilizing the Platform's clinical services, you formally acknowledge that you have read, understood, and agreed to be bound by all the conditions stipulated in this Agreement.
